By accessing or using Proname.ai (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Service. These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

Proname.ai provides an AI-powered name generation service that helps users generate, evaluate, and analyze potential brand names, business names, and product names. The Service includes:

• Domain availability checking
• Trademark conflict detection
• Company name verification
• Risk assessment and analysis

3. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to:

Names generated by the Service are suggestions only and do not confer any intellectual property rights. You are responsible for ensuring that any name you choose to use does not infringe on the rights of others.

You retain ownership of any content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of providing and improving the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR RELIABILITY.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results provided will be accurate, complete, reliable, or suitable for your purposes
• Any defects or errors will be corrected
• The Service will meet your requirements or expectations
• The Service is free of viruses, malware, or other harmful components
• Third-party services integrated with the Service will be available or accurate
• Names generated by the Service are available, unique, or legally safe to use

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRONAME.AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Business interruption or loss of business opportunities
• Costs of substitute goods or services
• Damages resulting from your use or inability to use the Service
• Damages resulting from any names generated, suggested, or analyzed by the Service
• Damages resulting from reliance on any information provided by the Service
• Trademark, copyright, or other intellectual property infringement claims
• Domain registration disputes or losses
• Errors, omissions, or inaccuracies in the Service
• Service interruptions, delays, or failures
• Third-party service failures or API unavailability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Proname.ai, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any third-party right, including without limitation any copyright, trademark, trade secret, or privacy right
• Any names you select, use, or register based on suggestions from the Service
• Trademark, copyright, or other intellectual property infringement claims related to names generated or suggested by the Service
• Domain registration disputes or issues
• Your violation of any applicable laws or regulations
• Any content you submit, post, or transmit through the Service

This indemnification obligation will survive these Terms and your use of the Service.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the new Terms on this page and updating the “Last updated” date. Your continued use of the Service after any changes constitutes acceptance of the modified Terms.

13. Age Restrictions

The Service is intended for users who are at least 18 years of age or the age of majority in their jurisdiction. By using the Service, you represent and warrant that you are at least 18 years old or have obtained parental or guardian consent to use the Service.

• Any costs, fees, or charges imposed by third-party providers

Your use of third-party services may be subject to separate terms and conditions. We disclaim all liability arising from your use of or reliance on third-party services.

15. Data and Privacy

We are not responsible for any loss, corruption, or unauthorized access to your data. You are responsible for maintaining backups of any important data. We reserve the right to delete or suspend accounts and data at any time, with or without notice, for any reason.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Proname.ai operates, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration organization, except where prohibited by law. You waive any right to a jury trial and agree to resolve disputes on an individual basis.

Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights or prevent irreparable harm.
